The board of directors of Alinma Bank is pleased to invite shareholders owning twenty (20) or more shares of the bank’s stock to attend the Alinma Bank 2nd Ordinary General Assembly, which will be held on Sunday, March 13, 2011 (8 Rabi Thani 1432) at 4:30 p.m., at the Al-Anoud Novotel Hotel (Latifah Hall), on King Fahad Road in Riyadh.
The meeting’s agenda includes approving the board of directors’ report and financial statements for the fiscal year ended December 31, 2010 as well as discharging the members of the board of directors for the same fiscal year. The meeting will also approve the auditors’ report for the same fiscal year and the appointment of auditors from among candidates nominated by the Audit committee to audit the accounts and quarterly financial statements of the bank for the fiscal year 2011. Furthermore, the auditor’s fees will be approved as well as the rules for selecting the members of the Nomination and Remuneration and Audit committees. Committee membership terms and work plans will also be approved.
Shareholders who will attend the meeting are kindly requested to bring their ID cards and proof of share ownership in accordance with the instructions of the Ministry of Commerce and Industry. Attendance of shareholders representing at least 50% of the total issued shares will constitute a quorum.
